This Educational Content Subscription Agreement ("Agreement") is entered into by and between:
Varun Bhargav, Prop. of Profit X Research, having office at A 230 Balaji Paradise, Vidisha (Bhopal), Madhya Pradesh – 464001 (hereinafter referred to as the "Company"),
AND
Subscriber/Client, whose details are provided at the time of subscription (hereinafter referred to as the "Subscriber"). The Company and Subscriber are together referred to as the "Parties".
This Agreement governs the terms under which the Subscriber subscribes to educational video content, courses, and related material ("Content") provided by the Company under the programme "ProfitX Edu Mentorship".
2.1 The Company shall provide educational content only, which may include:
2.2 The Content is purely for educational and informational purposes.
2.3 The Subscriber acknowledges that the Content does not constitute investment advice, research recommendation, or portfolio management service, and is not tailored to individual financial situations.
3.1 The Subscriber expressly agrees that the services provided under this Agreement are completely independent of any licenses held by the Company, including Research Analyst (RA), Registered Investment Adviser (RIA), or Portfolio Management Services (PMS).
3.2 The Content shall not be construed as investment advice or recommendation, and shall not be treated as buy/sell/hold advice for any security.
3.3 The Subscriber agrees not to interpret any Content as actionable financial advice, and to consult a registered investment advisor or research analyst before making any investment decisions.
4.1 The Subscriber agrees that the payment made is solely towards access to educational content and services, and does not entitle the Subscriber to any advisory, recommendation, or profit assurance.
4.2 Subscription fee: as listed on the Mentorship page at the time of purchase — currently ₹60,000 for the Basic Technical Mentorship programme and ₹90,000 for the Advanced Technical Mentorship programme, both delivered as recorded video content. Payment is accepted on the Company's website only, never inside the mobile app.
4.3 The Subscriber further agrees that no claims shall be made against the Company for investment losses, missed opportunities, or interpretation or use of the Content.
5.1 The Company shall not be liable for any financial loss incurred by the Subscriber, any action taken based on the Content, or any misinterpretation of educational material.
5.2 The Subscriber agrees that all decisions taken are solely at their own risk and discretion.
6.1 All Content provided remains the exclusive intellectual property of the Company.
6.2 The Subscriber shall not copy, reproduce, distribute, or share the Content without prior written consent.
The Subscriber expressly agrees that the Company shall have the absolute right to publish, distribute, share or make public any or all of this content in the future, and the Subscriber shall not raise any objection or claim against any such distribution.
8.1 Subscription to the Content does not create a client-advisor relationship under SEBI regulations.
8.2 The Subscriber is not a client for RA, RIA, or PMS services merely by subscribing to the Content.
The Subscriber acknowledges that stock market investments are subject to market risks, and past examples or case studies shown in the Content are for learning purposes only.
Once this Agreement is signed and payment is made, the Mentorship programme is considered started and the fee is fully and immediately non-refundable — zero refund, no pro-rata or partial refund of any kind, regardless of how much of the recorded content has been accessed. Because there is no refund, the Subscriber also cannot cancel the programme after payment — there is nothing to cancel into, since no refund would follow from a cancellation either way. This is separate from, and not governed by, the Refund Policy that applies to the Profit X Edu AI app's in-app Pro subscriptions (Google Play Billing) — that policy has no bearing on the Mentorship programme. No refund or cancellation shall be granted for failure to use the platform, dissatisfaction arising from misunderstanding of the educational nature of the Content, termination due to violation of terms, or Subscriber negligence.
Any external additional streaming cost that is beyond the control of the Company shall be proportionately passed on on an actual basis.
12.1 The Company reserves the right to suspend or terminate access in case of misuse of Content.
12.2 No refund shall be applicable unless explicitly stated.
This Agreement shall be governed by and construed in accordance with the laws of India, subject to the jurisdiction of the courts in Vidisha, Madhya Pradesh.
By visiting this website or the ProfitX Edu AI app and proceeding with the Mentorship programme, the Subscriber confirms that they have read and understood this Agreement and agree to all terms and conditions mentioned herein.
The Subscriber signs this Agreement by drawing their signature on-screen, on the Company's website only (not on the mobile app). A signed copy is emailed to the Subscriber upon completion, and access to the recorded course video lectures is unlocked only after successful signing and payment verification.
